By accessing and using OmnioFlow's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

OmnioFlow provides AI automation consultancy services, including but not limited to:

  • Workflow analysis and optimization
  • AI automation solution design and implementation
  • Data integration and system connectivity
  • Lead management automation
  • Market tracking and analysis automation
  • Content operations automation
  • Technical consultation and support

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your business needs
  • Grant necessary access to systems and data required for service delivery
  • Maintain appropriate security measures for your systems
  • Comply with all applicable laws and regulations
  • Provide timely feedback and cooperation during project implementation
  • Ensure you have the right to use any third-party services we integrate

4. Service Delivery

We commit to:

  • Deliver services with reasonable skill and care
  • Use industry-standard security practices
  • Maintain confidentiality of your proprietary information
  • Provide clear communication about project progress
  • Offer reasonable support during and after implementation

5. Intellectual Property

5.1 Client Data

You retain all rights to your proprietary data and business information. We will never use your data to train AI models or for purposes other than providing our services to you.

5.2 Our Intellectual Property

We retain rights to our methodologies, tools, and general knowledge. Custom solutions developed specifically for you may be subject to separate intellectual property agreements.

6. Data Security and Privacy

We implement appropriate technical and organizational measures to protect your data. Our data handling practices are detailed in our Privacy Policy, which forms part of these terms.

7. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Consultation fees are typically due upon completion
  • Project fees may be structured with milestones
  • Ongoing support fees are typically billed monthly
  • Late payments may result in service suspension

8. Limitation of Liability

To the maximum extent permitted by law, OmnioFlow's liability is limited to the amount paid for the specific service giving rise to the claim. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Issues arising from third-party services or integrations
  • Problems caused by client system changes or misconfigurations

9. Indemnification

You agree to indemnify and hold harmless OmnioFlow from any claims arising from:

  • Your use of our services
  • Your violation of these terms
  • Your violation of any third-party rights
  • Your failure to comply with applicable laws

10. Termination

Either party may terminate services with written notice. Upon termination:

  • We will cease accessing your systems
  • You will pay for services rendered up to termination
  • We will return or destroy your data as agreed
  • Confidentiality obligations continue

11. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or third-party service outages.

12. Governing Law

These terms are governed by the laws of Lithuania. Any disputes will be resolved in the courts of Lithuania, unless otherwise agreed in writing.

13. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by posting the new terms on our website and updating the "Last updated" date.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and OmnioFlow regarding our services.
